Corporate Governance

Module code: MN7036

In this module you'll explore theoretical approaches, contemporary issues and practical aspects of corporate governance. The regulation of firms in international contexts will also be discussed, with particular attention to private, public and non-profit enterprises.

During this module you'll study the development of corporate governance and firm organisation in large multinational enterprises operating in transnational markets. You'll also consider the effects of institutional contexts, both legal and normative, and the rise of financial imperatives.

Actors in governance decision-making will also be investigated, along with the role of shareholders and stakeholders, while examining the role and structure of corporate boards, and directors’ roles and duties.

Your studies will also include a comparative analysis of different national models of corporate governance. You'll discuss key questions involving social and political governance of corporate firm action in society, and of corporate social responsibility using a comparative international approach.
